Mergers & Acquisitions / Restructuring – I&D Finance
At Deloitte’s USI Mergers & Acquisitions (M&A) team, we are looking for Consultants and Senior Consultants for our practice, with relevant experience in M&A. We are looking for a highly motivated individual with strong analytics skills to be part of the Merger & Acquisitions and Restructuring group who can work towards attaining profitable growth, strategically managing costs, and intelligently navigating risks.
Work you will do:
We guide M&A initiatives for companies to help expand and accelerate revenue and cost synergies, reduce transaction risk, and retain key talent, even as they make structural changes to their business, operating model, or capital model. Your day-to-day responsibilities will include:
1. Develop client deliverables and documentation:
•
Identify and select the most relevant set of tools/techniques to meet client requirements such as business case development, financial modeling, and analysis, etc.
•
Analyze and interpret project data, draw conclusions, and develop recommendations based on the result of the specific outputs.
•
Use analytics to build strategic insights for the client.
•
Define project standards, methodologies, and execute process improvement initiatives.
2. Engage in client interaction:
•
Conduct client interviews to verify and validate assumptions, hypothesis, and analysis.
•
Participate in workshops and training sessions.
•
Synthesize and present insights and recommendations.
•
Develop and maintain working relationships with client counterparts.
3. Participate in engagement management including:
•
Own and manage specific work threads.
•
Develop plans for components of engagements.
•
Coordinate activities between different work threads.
•
Identify and help manage changes in scope.
•
Manage and mentor junior resources.
The Team
The M&A/R team bring deep industry experience, rigorous analytical capabilities, and a pragmatic mindset to solve clients' most complex business problems. Our operational capabilities address the unique issues faced by manufacturing organizations, service businesses and infrastructure operations. These are combined with capabilities in finance, performance management and business restructuring. Our teams take the lead on delivering all aspects of the people side of transactions to our clients. We leverage commercial awareness and professional expertise, along with using the skills and expertise of others, to deliver the best possible experience and outcomes for our clients.
Capabilities of an M&A/R I&D Finance & Supply Chain practitioner will include the following:
•
Advising clients on separating/carving out a business unit for divestiture and integrating newly acquired target with buyer’s organization with focus on the Finance and / or Operations (Supply Chain, Procurement and/or Manufacturing) workstreams.
•
Preparing for Day-One (legal ownership transfer) / Day-Two (focus shifts from deal execution to operational transition / TSA exit) planning, business continuity planning, synergy
identification / capture and commercial/ operational due diligence with focus on Finance and /
or Operations workstreams.
•
Preparing and executing Legal Entity Readiness, Finance Function / Operations (Supply Chain, Procurement and/or Manufacturing) Integration & Carve-Out, Transformation planning, Contracts review, Sourcing Strategy Revamp.
•
Mapping and documenting current state and future state processes with a focus on Finance Operating Model and / or Operations Operating Model.
•
Understanding the end-to-end finance processes such as Order-to-Cash, Record-to-Report, Procure-to-Pay, Close-Consolidate, Taxation etc.
•
Conducting contract metadata extraction, contract separation, supplier negotiation Support, operational benchmarking, supply chain ops cost baselining etc.
•
Analyzing financial statements and large financial and non-financial data sets.
