Mergers & Acquisitions - Lead Solution Advisor / Senior Solution Advisor

Mergers & Acquisitions (M&A) as the name suggests is intriguing and complex. It calls for a business mindset to understand the rationale behind the transactions and ability and willingness to dive deeper into industry issues and bring greater insights for our clients. We are looking for a person who is passionate about M&A and willing to serve challenging client needs and ensuring the client demands are met.
Work you’ll do
Provide financial reporting assistance on transactions (divestitures, readiness and acquisitions) as a project lead, supervising a team of Analysts/Associate Solution Advisors/Solution Advisors. Financial reporting assistance work streams include:
• Preparation of carve-out financial statements, opening balance sheet for acquisition, Form S-1, etc. in accordance with US GAAP (or IFRS) and ensuring compliance with SEC reporting requirements
• Drafting accounting policies, disclosures and position papers
• US GAAP to IFRS conversion (or vice versa) – identification of potential gaps and quantification assessment
• Draft pro forma financial statements and deal financial information
• Perform technical accounting analysis and research, peer group analysis and benchmarking
• Review draft financial statements for consistency and accuracy
• Assist with discontinued operations analysis and disclosures for divestiture transactions

The Team
Mergers & Acquisitions Transaction Services team provides financial reporting assistance on transactions that encompasses various services required to enable the Buyer or Seller to prepare US GAAP (or IFRS, as applicable) compliant financial statements and disclosures and issuance of SEC compliant reports for public filers (e.g. Form 10, Form S- 1, etc.)
Required:
• CA/CPA/ACCA with 5 to 8 years of relevant experience in financial accounting and reporting services, financial analysis and interpretation, preferably with experience of working in M&A transactions.
• Ability to read and interpret financial statements, and perform data analysis
• Ability to research, read and interpret accounting guidance (US GAAP and IFRS), SEC regulations, to provide accounting and reporting solutions
• Have an eye for detail, advanced understanding of accounting concepts and good analytical skills
• Have expert knowledge of MS Excel (with advanced knowledge of charts/graphs/pivot table)
• Have leadership, coaching, counselling and supervisory skill
