Position Summary

Level: Consultant

As an experienced Consultant at Deloitte Consulting, you will be responsible for individually delivering high quality work products within due timelines. Need-basis you will be mentoring and/or directing junior team members/liaising with onsite/offshore teams to understand the functional requirements.

Work you’ll do:

The Contract Specialist will engage in contractual matters related to account-level agreements and subordinate, engagement-specific documents for complex information technology (IT) services (e.g.,Technology Preferred Provider (TPP) relationships and managed services). The Contract Specialist will provide support ranging from contractual compliance / administrative matters, contractual research related to business issues that intersect one or more contracts, and reviews of customized contract documents (Statements of Work (SOWs), Work Orders and Change Orders). The Contract Specialist will work closely with the US Risk Managers to help manage contractual matters related to client-facing IT contracts and non-standard subcontracting agreements.

The Contract Specialist will be primarily responsible for matters related to contractual administration and compliance and will maintain contractual currency for dynamic contracts. The Contract Specialist will team with the US Risk Manager(s) to interact with other functions (e.g., Office of General Counsel (OGC); Information Security (InfoSec); Office of Confidentiality and Privacy (OCP); Contigence Workforce Services (CWS)) to orchestrate integrated support and guidance for Deloitte’s client teams to address policies and procedures, contractual obligations, and regulatory compliance, as applicable.

Service capabilities provided by the Contract Specialist will help identify contractual risks and mitigations and deploy structured contract management processes for compliance with contractual commitments and deliverables.

  • Provide guidance and support to Deloitte account teams post contract execution for multi-tiered contractual relationships for complex IT services (e.g.,TPP accounts and subordinate services engagements)
  • Prepare MSA summaries (for business use), engagement summaries, obligations trackers, and contracting guidebooks
  • Identify key contractual terms and requirements, including obligations and deliverables
  • Periodically assess currency / compliance (together with the US Risk Manager(s)) and report on contractual obligations and deliverables
  • Perform thorough research of tiered contracts in connection with business issues or disputes
  • Prepare analysis of potential options for resolution / response with contractual support provided
  • Work with the US Risk Manager(s) to distil complex business issues that intersect one or more contracts
  • Analyze and assess potential impacts associated with contractual issues and disputes
  • Support development of contract management tools, including: negotiated templates, contracting guidebooks, and methods and processes essential for successful compliance during delivery of engagements
  • Provide contractual compliance / administrative support and guidance (e.g., capture, track / monitor, and document compliance with contractual obligations; maintain conformed contracts by applying change orders and amendments for both client and subcontractor contracts; prepare routine notices that are contractually-required)
  • Review and provide input to subordinate statements of work, work orders, and complex change orders by reviewing for contractual clarity and promoting Risk mitigations
  • Provide support for customized subcontracting arrangements, working closely with the US Risk Managers to ensure all subcontracts include applicable prime contract flow-down provisions
  • Help prepare for periodic Engagement Reviews where contractual matters are involved
  • Support US Risk Managers with contract closeout processes (including for partial terminations) by assisting with guidance to account / engagement PMOs for offboarding checklists; assist with document archival instructions and address return of confidential information, declaration of proprietary works, and transfer of software licenses
  • Perform other ad hoc Risk and Contract management support activities as required

Qualifications

Must Have Skills/Project Experience/Certifications:

  • Possess 3-7 years of post-qualification experience in risk and contract management
  • Proficiency in the use of MS Office - Word, basic Excel, and PowerPoint
  • Experience working on full Contract Lifecycle (IT/ITES)
  • Experience working on IT operations and managed services agreements
  • Experience working on commercial contracts
  • Experience in identifying contractual risks and suggesting risk mitigations
  • Exposure to contract language and risk mitigations associated with access to highly confidential client information including PII/PHI
  • Experience in identifying business risks
