Senior Consultant - Lead Solution Advisor
Mergers & Acquisitions (M&A) as the name suggests is intriguing and complex. It calls for a business mindset to understand the rationale behind the transactions and ability and willingness to dive deeper into industry issues and bring greater insights for our clients. We are looking for a person who is passionate about M&A and willing to serve challenging client needs and ensuring the client demands are met.
Work you’ll do
Supervise a team of Analysts / Solution Advisors and carry out end-to-end project management Work on Financial Due Diligence engagement:
· Analysis of financial data sourced from financial statements and supporting schedules
· Handle detailed interactions with the clients / onshore US team
· Gather data requirements and information essential for the workbook preparation and financial analysis
· Guiding team on M&A specific analysis to be performed on the financial data
· Application of analytics tool like Alteryx and Tableau
· Review work prepared by team members for sign off by Manager
Provide financial reporting assistance on transactions (divestitures, readiness and acquisitions) as a project lead, supervising a team of Analysts/Solution Advisors. Financial reporting assistance work streams include:
· Preparation of carve-out financial statements, Form S-1, etc. in accordance with US GAAP (or IFRS) and ensuring compliance with SEC reporting requirements
· Drafting accounting policies, disclosures and position papers
· US GAAP to IFRS conversion (or vice versa) – identification of potential gaps and quantification assessment
· Draft pro forma financial statements and deal financial information
· Perform technical accounting analysis and research, peer group analysis and benchmarking
· Review draft financial statements for consistency and accuracy
· Assist with discontinued operations analysis and disclosures for divestiture transactions
Lead overall project delivery, including liaison with the onshore team, allocation of work streams, review of work prepared by team members, execution of more complex work streams, and timely delivery of engagement.
The team
Mergers & Acquisitions Transaction Services team provides support for Financial due diligence (‘FDD’) services to the Client, both Private Equity clients as well as Strategic Investors, which entails comprehensive financial review of the target with the goal of providing a complete picture of its financial position and sustainable cash flows, highlighting the value and risks of a transaction, and identifying issues for reflection in SPA and completion accounts. In addition to FDD, the team provides financial reporting assistance on transactions that encompasses various services required to enable the Buyer or Seller to prepare US GAAP (or IFRS, as applicable) compliant financial statements and disclosures and issuance of SEC compliant reports for public filers (e.g. Form 10, Form S- 1, etc.)
Required:
· CA/MBA Regular (Finance) with 5 to 7 years of relevant experience in Financial Analysis and Interpretation and/or financial reporting, preferably with an experience of working in M&A transactions.
· Ability to read and interpret financial statements, and perform data analysis
· Ability to research, read and interpret accounting guidance (US GAAP and IFRS), SEC regulations, to provide accounting and reporting solutions
· Have an eye for detail, advanced understanding of accounting concepts and good analytical skills
· Have the ability to add industry analysis including KPIs
· Have expert knowledge of MS Excel (with advanced knowledge of charts/graphs/pivot table/macros)
· Experience of handling financial data through Alteryx
· Have leadership, coaching, counselling and supervisory skills
